These Terms of Service (“Terms”) are an agreement between Synacuity LLC, a Texas limited liability company (“Synacuity”, “we”, “us”), and the business or person that uses the Synacuity service or website (“Customer”, “you”). By creating an account, connecting an account, or otherwise using the service, you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it.
1. The service
Synacuity provides software that connects to a Customer’s Google Business Profile and messaging accounts (such as WhatsApp Business Platform, Instagram and Messenger), analyzes reviews and messages with AI, helps draft replies, and runs automations the Customer configures (the “Service”). We may improve, change or discontinue features, and will give reasonable notice of changes that materially reduce functionality.
2. Accounts and access
- You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
- You may add team members. You are responsible for their compliance with these Terms.
- Only authorized people may connect third-party accounts. You confirm you have the right to connect each account, location and channel you add.
3. Third-party platforms
The Service depends on third-party platforms, including Google, Meta (WhatsApp, Instagram, Messenger) and others. Your use of those platforms remains subject to their terms and policies, including the Google Business Profile policies, the Meta Platform Terms and the WhatsApp Business terms. Those platforms may change or restrict access at any time, and we are not responsible for their availability, changes or actions. You can revoke access at any time through the platform’s own settings.
4. Your content and responsibilities
- You own the data you connect, including reviews, messages and your replies (“Customer Data”). You give us a limited license to host, process and display Customer Data solely to provide the Service to you.
- AI output can be inaccurate or inappropriate. You are responsible for reviewing and approving replies and for the automations you enable. Automated messages are sent in your business’s name.
- You are responsible for obtaining any consents or giving any notices required to message your customers, and for complying with applicable laws on messaging, marketing and privacy.
5. Acceptable use
You will not: use the Service to send spam, deceptive, unlawful or harassing content; post fake reviews or incentivized reviews that violate platform rules; attempt to access another customer’s data; reverse engineer or interfere with the Service; or use the Service in violation of any platform’s policies or applicable law. We may suspend access that we reasonably believe violates this section.
6. Fees
Fees, billing terms and any trial or pilot terms are set out in the order, proposal or invoice we agree with you. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
7. Privacy
Our Privacy Policy explains how we handle information. For Customer Data, we act on your instructions as your service provider.
8. Intellectual property
Synacuity and its licensors own the Service, including software, design and documentation. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you give us may be used without obligation to you.
9. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only for purposes of these Terms, except where disclosure is required by law.
10. Disclaimers
The Service is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted service, the accuracy of AI output, or that any platform will continue to provide access.
11. Limitation of liability
To the extent the law allows, Synacuity will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose (or US$100 if you have not paid us). These limits do not apply where the law does not allow them.
12. Term and termination
You may stop using the Service and disconnect your accounts at any time. We may suspend or end the Service for a Customer who breaches these Terms or where required by a platform or by law. On termination we handle Customer Data as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. The state and federal courts located in Texas have exclusive jurisdiction over disputes, unless we agree otherwise in writing.
14. Changes to these Terms
We may update these Terms. We will post the new version here and update the effective date, and for material changes we will notify account holders. Continued use after the effective date means you accept the update.
